There are many key contracts that arise during the course of running a business, whether these are standard terms and conditions, supply of goods agreements, supply of services agreements, framework agreements, licensing agreements or hire purchase agreements. A key asset of many businesses is its confidential information, and protecting this key asset may be required at different points in the lifecycle of the business; such as commercialising a new product idea, entering into supply agreements, taking on a new business partner, and upon the eventual sale of the business. Confidentiality agreements, or non-disclosure agreements, impose obligations on the recipient of your confidential information and allow you to retain control over how it may be used.

An agency relationship is one where the agent facilitates contracts between the principal and a third party by soliciting orders from or concluding contracts with a third party on behalf of the principal. An agent usually benefits from the relationship by receiving a commission from the supplier. An agent does not contract with customers in his own right and he therefore generally has no liability to them.

A distributor is a person or company who buys goods from the supplier and resells them to customers in his own territory upon his own terms and conditions. He will usually have no authority to create a contract between the supplier and the customer.
